These Terms of Service (“Terms”) govern your access to and use of the VoyageX AI platform and related services operated by Homofer Private Limited (“VoyageX AI”, “we”, “our”, or “us”), including our websites, applications, APIs, software, AI systems, analytics tools, automation systems, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
Your use of the Services is also governed by our Privacy Policy.
Use of the Services
You must be at least 18 years old to access or use the Services.
If you access or use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind such entity to these Terms.
You agree to use the Services only in compliance with applicable laws, regulations, and these Terms.
User Accounts
Certain features of the Services may require account registration.
You are responsible for:
- maintaining the confidentiality of account credentials;
- activities conducted through your account; and
- ensuring that information provided to VoyageX AI is accurate and current.
You must immediately notify VoyageX AI of any unauthorized access, suspected misuse, or security breach involving your account.
We reserve the right to suspend or terminate accounts that violate these Terms or may harm the Services, infrastructure, or other users.
User Data and Operational Information
Customers retain ownership of operational and organizational data stored within the VoyageX AI platform.
By using the Services, you grant VoyageX AI a limited, non-exclusive, worldwide license to host, process, store, reproduce, and use such data solely for the purpose of operating, maintaining, securing, improving, and providing the Services.
VoyageX AI does not use customer data for third-party AI model training, benchmarking, or marketing purposes without explicit written consent.
You represent and warrant that:
- you own or have the necessary rights to data uploaded to the Services;
- your data does not violate applicable laws or third-party rights; and
- your data does not contain malicious code or harmful material.
We may restrict or remove data that violates these Terms or threatens the security or integrity of the Services.
Prohibited Conduct
You agree not to:
- violate applicable laws or regulations;
- infringe intellectual property or proprietary rights;
- reverse engineer, decompile, disassemble, or attempt to extract source code from the Services;
- interfere with or disrupt the integrity, security, or performance of the Services;
- use bots, scrapers, scripts, or automated systems to access or extract data without authorization;
- attempt unauthorized access to accounts, systems, or infrastructure;
- upload malware, viruses, worms, trojans, or other harmful material;
- use the Services for unlawful, fraudulent, deceptive, or abusive purposes; or
- bypass security measures or operational restrictions implemented by VoyageX AI.
AI-Generated Content
Certain features of the Services may generate outputs using artificial intelligence technologies.
AI-generated outputs may contain inaccuracies, omissions, or errors and should be independently reviewed before operational, commercial, compliance, safety, maintenance, or regulatory use.
AI-generated outputs may require human review and should not be relied upon as the sole basis for operational, safety, compliance, or navigational decisions.
VoyageX AI does not guarantee the accuracy, completeness, reliability, or suitability of AI-generated outputs.
You are solely responsible for evaluating and verifying AI-generated outputs before use.
Intellectual Property
The Services, including software, technology, AI systems, workflows, designs, trademarks, logos, graphics, and related intellectual property, are owned by or licensed to Homofer Private Limited and protected under applicable intellectual property laws.
Except as expressly permitted in these Terms, you may not copy, modify, distribute, license, sell, or exploit any part of the Services without prior written consent from VoyageX AI.
VOYAGEX™ is a trademark of Homofer Private Limited.
Service Availability
VoyageX AI may modify, suspend, discontinue, update, or restrict any part of the Services at any time without prior notice.
We do not guarantee that the Services will always be uninterrupted, error-free, secure, or continuously available.
Offline-capable workflows may be available for vessel operations in low-connectivity environments, subject to platform limitations and operational conditions.
Security and Infrastructure
VoyageX AI uses commercially reasonable administrative, technical, and organizational safeguards designed to support secure platform operations.
Security measures may include:
- encrypted communications;
- role-based access controls;
- infrastructure monitoring;
- audit logging;
- automated backups; and
- multi-factor authentication (MFA).
No internet-based platform or infrastructure can be guaranteed fully secure.
Third-Party Services
The Services may include integrations with third-party systems, software, APIs, or websites.
VoyageX AI is not responsible for the availability, security, functionality, or practices of third-party services.
Suspension or Termination
VoyageX AI may suspend, restrict, or terminate access to the Services if:
- you violate these Terms;
- your use creates legal, operational, or security risk; or
- suspension is reasonably necessary to protect the Services, users, infrastructure, or VoyageX AI.
Upon termination, your right to access or use the Services will immediately cease.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOYAGEX AI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, AND ACCURACY.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOMOFER PRIVATE LIMITED AND VOYAGEX AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL ARISING OUT OF OR RELATED TO THE USE OF THE SERVICES.
VOYAGEX AI IS NOT RESPONSIBLE FOR OPERATIONAL, NAVIGATIONAL, SAFETY, MAINTENANCE, REGULATORY, OR COMMERCIAL DECISIONS MADE BY USERS BASED ON PLATFORM OUTPUTS, REPORTS, ANALYTICS, OR AI-GENERATED CONTENT.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO VOYAGEX AI FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify and hold harmless Homofer Private Limited, VoyageX AI, its directors, employees, affiliates, and partners from claims, damages, liabilities, losses, and expenses arising out of:
- your use of the Services;
- your violation of these Terms; or
- your violation of applicable laws or third-party rights.
Changes to the Terms
VoyageX AI may update these Terms from time to time.
Updated Terms become effective upon posting on the Platform. Continued use of the Services after updated Terms are posted constitutes acceptance of the revised Terms.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India.
Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver
Failure by VoyageX AI to enforce any provision of these Terms shall not constitute a waiver of any rights or provisions.
Cancellation and Refund Policy
Refund requests, if applicable, must be submitted within seven (7) days of purchase unless otherwise stated in a separate written agreement.
Approved refunds are generally processed within fifteen (15) business days.
